      <narrative>TCell Project</narrative>

      <narrative>With approximately 3.1 million subscribers and a market share of 36%, TCell (or the Company) is Tajikistans largest mobile phone operator. Established in 1998, it is also the countrys first mobile operator. TeliaSonera acquired a controlling stake in the Company in July 2007 and AKFED, which was a shareholder at the time of TeliaSoneras purchase, owns the remainder of the Company.   TCell is seeking to raise US$30 million from the IFC to expand the services it offers and its geographic reach within Tajikistan.  Over the next five years the Company intends to grow its mobile broadband and value added services.</narrative>

      <narrative>-	Extend and improve the quality of telecommunications services:  TCell plans to invest heavily in its network by upgrading and expanding coverage.  This is expected to improve service for its subscribers and result in access in areas of the country that were not covered in the past.  TCell''s investment program will also compel other operators to invest in their networks, leading to improvements across the industry as a whole and benefiting the general population.  -	Direct and indirect employment:  Due to the limited employment opportunities domestically, nearly half of Tajikistan''s labor force works abroad.  This project is expected to generate employment opportunities in the local market at both a Company level and across the supply chain.  -	Support delivery of Social Services:  In 2002 TCell launched 3G services under its Indigo Tajikistan brand, making the country one of the first in the former Soviet Union to have a 3G network.  Due to the lack of fixed line, broadband infrastructure, the country''s 3G network is relied on for the transmission of data and mobile internet access.  As applications such as mobile banking and eGovernment services come on line, TCell''s extensive network will allow these services to reach a larger share of the population.  -	Demonstration Effect:  IFC has taken a leading role in in the telecom sector as a pioneer investor in post-conflict and IDA countries, such as Afghanistan, Sierra Leone, West Bank and Haiti.  IFC''s participation in this project would send a positive signal to other investors about Tajikistan''s investment potential despite perceptions about a challenging business environment and country risk.  Although it grew significantly in the years that followed the 1992-1997 civil war, foreign direct investment remains limited.</narrative>

This Project supports a strong financial intermediary with a successful track record of providing funding to local micro entrepreneurs.</narrative>

The proceeds of the loan would be used by the bank for on-lending to micro, small and medium sized entrepreneurs (MSMEs).   In conjunction with the loan, IFC plans to provide advisory services to FMBT to strengthen the banks capacity in SME banking, a line of business which the bank has recently started developing.</narrative>

through:      i) improvement of consumer access and value through better
access to a more diverse selection, quality, affordability of food products,
and better consumer prices due to economies of scale;      ii) development of food distribution sector  as the
expansion will help increase the number of suppliers, build additional sales
channels, and contribute to improvement in efficiency and operating standards
throughout the supply chain;      





  iii) import substitution: through improving and increasing
its distribution capability, the Group will have an increased ability to
distribute its rapidly developing dairy production capacity for the local
market.  This would decrease sales of imported, hard currency denominated
goods providing a less costly, locally produced alternatives in a country which
depends for 80% on imported food items.   </narrative>

The Project will be processed under the Base of Pyramid (BOP) Platform and benefit from the IDA-PSW Blended Finance Facility and IDA-PSW Local Currency Facility (LCF) support. Proceeds will be equally allocated to finance (i) micro housing projects (including acquisition of houses/apartments, renovation, upgrading, modernization or incremental building of an existing dwelling), (ii) self-employed women and women-owned micro and small enterprises (WMSEs), and (iii) individuals in rural areas and Micro and Small Enterprises (MSEs).  To date, US$825.5 million has been committed from the US$1 billion BOP Platform envelope leaving US$174.5 million in available headroom to support the proposed project. All investments under the BOP Platform are performing, and no first loss has been paid out.                                                              </narrative>

Description of Company and Purpose of Project    	IFC has been requested by the Government of Tajikistan and Nelson Gold Corporation to participate as a 5% partner in the Zeravshan Gold Company joint venture. The objective of the joint venture is to rehabilitate and expand ZGCs existing gold mining operations and to conduct further exploration in the region.  This project comprises Phase I of the development which consists of modification of the existing open pit mine and processing facility to produce approximately 60,000 ounces of gold per year.  Completion of a feasibility study for the second phase is also part of this project.  Phase II would comprise expansion of the existing open pit mine and a heap leach operation to increase production to 160,000 ounces of gold per year for a minimum of eight years.  Following completion of the feasibility study, Phase II would be evaluated as a separate project.    Environmental Category and Issues    	This is a category B project according to IFCs environmental review procedure.  Environmental issues associated with this project include tailings treatment and disposal, waste water treatment, potential modification to land use, the handling of toxic and hazardous materials, and socio-economic benefits.  The project includes a cyanide detoxification plant and modification of the existing tailings facility in accordance with the engineering design criteria required by the State of Nevada (USA) for a retrofitted facility.  The project sponsor is preparing an environmental assessment as part of the feasibility study for Phase II which would be a category A project. NGCs principal asset is its wholly-owned subsidiary Commonwealth &amp; British Minerals PLC (CBM) which has a 44% interest in ZGC, a joint venture among CBM, IFC, and the Government of Tajikistan represented by the State Committee for Precious Metals.    Project Cost Including proposed IFC investment    	The project cost is estimated at US$28.6 million comprising US$19.6 million capital expenditure of ZGC and up to US$9.0 million equity investment in NGC.  IFC will provide a US$3.0 million loan to ZGC and up to US$3 million equity subscription for about 10% interest in NGC.    Location of project and Description of site    	The mine is located in the Khujand region of northwestern Tajikistan.     Description of Company and Purpose of Project    	This project will allow for completion of an expansion program of ZGC in Tajikistan and it will expand the capital base of the parent company, NGC.  The expansion program involves an increase in production from the Jilau open pit mine and an increase in capacity of the carbon-in-leach processing plant from 0.7 million to 1.7 million tonnes of ore per year to produce about 100,000 ounces (3.1 tonnes) of gold per year.  Stronger capital base of NGC will help fund NGCs on-going exploration program in  Central Asia and possible expansion in West Africa.    The investment in ZGC will have a positive development impact on the economy of Tajikistan.  The expansion of the mine will double project export earnings and the Governments share of cash flow from the project, in the form of royalties, taxes and dividends.  The development and continued success of an internationally competitive mining operation has also a strong demonstration value.    NGC is in negotiations for the acquisition of a gold mine in West Africa. If successful, the investment in NGC will therefore contribute to the rehabilitation of a gold mine in West Africa and create jobs and export earnings.  The continuation of an exploration program in Tajikistan, Kyrgyz Republic, and Kazakhstan (Central Asia) may lead to the development of new mining projects and therefore may have a large leverage effect.     Environmental Category and Issues    	The expansion of the existing operation is a category B project according to the IFCs environmental review.  The key issues that will be addressed as part of the environmental review include NGC''s corporate environment and social policy; land use modifications; tailings treatment and disposal; liquid effluent and solid waste disposal; water resources; and general worker safety.    The environmental effects of this expansion will be limited. Studies undertaken for the previous investment demonstrated that no parks or ecologically protected or sensitive areas or historic sites are located within the areas that could be affected by the proposed expansion.  The construction of the new tailings facility will result in the loss of approximately 70ha of seasonal grazing land. ZGC has developed a mutually acceptable compensation package with the collective farm and has also provided additional irrigation facilities.  As part of the initial expansion phase of the project, ZGC decided to opt for the ozonation process to destroy cyanide.  Unfortunately this process has not worked as well as expected.  As part of the expansion program, the ozonation plant will be brought back into operation.  The existing operation is in compliance with World Bank guidelines.    IFC will monitor the sponsors ongoing compliance with World Bank policies, and environmental, health and safety guidelines during the life of the project by evaluating monitoring reports submitted annually to IFC and by conducting periodic site reviews during project supervision. The IFC has been requested to provide financing of up to US$0.4 million by way of a loan for purchase of equipment and for providing assistance to local small and medium-sized suppliers of the supermarket.     Location of project and Description of site    	The new store is well located at Ahmad Donish Street in Dushanbe, one of the arterial roads leading to the airport. The building was previously used as a textiles showroom and workshop. Ahmad Donish Street is well served by public transport. The company is paying for a bus stop, which was located directly opposite the main entrance, to be relocated 200 feet. This will increase the number of car parking spaces offered by the store.    Description of Company and Purpose of Project    	The project involves expansion of an existing supermarket called Holland Supermarket in Dushanbe, Tajikistan, for a total cost of US$1.275 million. The project will fill a significant void in Dushanbes  underdeveloped and inefficient distributing and retailing system. It will be the first large-scale retail development in Dushanbe to address the needs of this city of about one million people, where there are currently no efficient, clean and covered retail facilities. The project will also have a major developmental impact on the distribution and retailing sector in the city. It will provide consumers with all the benefits of modern retailing: lower prices; one-stop shopping; increased range and variety of goods; better and consistent quality; and improved hygiene and food safety. The project also provides for support from the company to help stimulate local small suppliers.    Environmental Category and Issues    	This is a category B project according to IFC''s environmental review procedure because a limited number of specific impacts may result which can be avoided or mitigated by adhering to generally recognized performance standards, guidelines or design criteria.   Environmental and social issues associated with this project include: site selection and history; waste disposal (solid/liquid); CFC use; employee health and safety; and fire and emergency preparedness.  No social issues are foreseen. Based on the available information regarding potential environmental impacts, IFC has concluded that the proposed project is being designed to meet government of Tajikistan requirements and World Bank policies, and environmental, health and safety guidelines.       <narrative>  GBAO is one of the most isolated and impoverished areas of the world.  It experiences long cold harsh winters.  During the Soviet period, diesel power plants with subsidized fuel provided electricity to the majority of the population.  With the collapse of the Soviet Union, and the subsequent civil war and sharp economic decline, fuel deliveries ceased and the plants have deteriorated beyond repair.  As a result, the population has come to depend on fuel wood for cooking and heating.  An estimated 70% of the regions tree cover has been cut down over the decade, schools and other public institutions must be closed during the coldest periods, indoor pollution is acute, and economic activity is stifled.  The household income survey undertaken for the project estimated average monthly income for a household of six at $27.    The project will generate and supply electricity under a 25-year concession.  It will (i) take control of the assets of the state utility (around 40 MWs generation capacity in total) serving 200,000 people, (ii) expand the main Soviet era hydro-plant from 14 MWs to 28 MWs, and construct a river regulating structure at an upstream lake (to provide better winter flows), and (iii) rehabilitate other generation, transmission and distribution assets.  In addition, the project will provide tariff subsidy mechanisms to ensure a minimum level of electricity for the poorest.  In order to lower the project tariff and provide tariff subsidy mechanisms, IDA is expected to fund the project together with a grant from the Government of Switzerland.     </narrative>

      <narrative>  Telecom Technology Limited (the Company)  is an exisisting company involved in the business of providing internet services in the city of Dushanbe, Tajikistan. The Company, now wants to expand its activities to other cities of Tajikistan nemely Khujand, Kurgan Tube and Chakalovsk and the Project involves the installation of 4-satellite VSAT stations to establish a network connecting these four cities of Tajikistan.  As a result of the Project, a wide range of reliable Internet, Email and private data communications services (currently unavailable or under-served in Tajikistan) will be made available in Dushanbe and three cities of Northern Tajikistan. The Project is a business expansion, sponsored by Telecom Technology  Limited.  The estimated US$0.7 million cost of the Project includes cost of purchase of new equipment, installation and training and working capital.  The Project is expected to be implemented within a period of 6 months after disbursement by IFC.     The Project will have the following developmental impacts: (1) expansion of an information service increasingly vital to the development of competitive industry and services; (2) increased competition in a small market; (3) introduction of up-to-date technology in a sector where this is crucial; (4) supporting the emerging Tajik business community; and (5) creation of 30 jobs.     The Project is in line with the World Bank Group Country Assistance Strategy, which highlights IFCs key focus in Tajikistan on promoting investment in small and medium size businesses to foster broad based industrial development and help alleviate poverty.  More specifically, the Project complements IFCs strategy to encourage and support commercially viable Projects in Tajikistans emerging SMEs in the private sector by: (a) helping develop new and efficient private sector companies; (b) assisting employment generation; and (c) promoting development of communications. The proposed Project builds directly on these strategies and supports the CAS in private sector development, particularly in the area of SMEs. </narrative>

      <narrative> Farmers' Ownership Model</narrative>

      <narrative> This is an innovative pilot attempt by IFC to alleviate the acute poverty of cotton farmers in Tajikistan by enabling them to take control of their own commercial activities.  FOM, which will be owned by the farmers, will use the IFC Loan and the SECO grant to: (i) purchase and deliver to the farmers a complete input bundle (including seeds, fertilizers, agrochemicals, tools, implements, grain bags, crop storage, equipment rental, picking charges and transport); (ii) arrange for processing the farmers crop; (iii) sell through its marketing service the farmers crops directly on the market; and (iv) identify and develop market opportunities and enterprises to assist with improving farmer viability and enterprise diversification.     The proposed project will bring management skills and financial support to the agricultural sector and demonstrate the economic benefits to be gained by upgrading the quality and quantity of the cotton crop.  The technical assistance will be managed by Private Enterprise Partnership (PEP), who will train the farmers in proper production, irrigation, fertilization and financial management, in addition to appointing the manager.  The technical assistance is part of the overall Swiss-IFC Central Asia technical assistance Partnership for Central Asia that has been recently approved by SECO and that will be implemented by PEP.  The project is expected to increase cotton yield and revenues for farmers currently living in abject poverty. The venture will also bring an increase of foreign exchange in the country, as over 80% of Tajikistan''s cotton is exported. </narrative>

-  skill-building and best practice in the financial sector; and 
-  demonstration effect for financial sustainability.

      <narrative>The project consists of expanding the asset base of SugdAgroServe (SAS or the company), an existing client of IFC, to help meet the growing demand for funding by cotton farmers in Tajikistan.  In April 2002, IFC helped establish SAS on a pilot basis to alleviate poverty among cotton farmers.  SAS allows farmers to become shareholders and capitalize on profits by financing crop inputs at affordable prices and selling their cotton in greater quantities and on better terms.  The initial $502,000 was sufficient to provide crop input financing to about 1,200 hectares.  As more farmers want to participate, the contemplated expansion and additional funding would enable SAS to service up to an estimated 3,500 hectares.</narrative>

      <narrative>This project  Open Joint-Stock Company Eskhata Bank (Eskhata Bank or the Bank)  is part of IFC's Central Asia Micro and Small Enterprise Facility (the Facility), comprising of individual credit lines to selected partner banks for on-lending to micro and small enterprises (MSEs) through specialized micro and small business finance windows created at the partner banks level for this purpose.  Within the framework of the facility, IFC will, in close collaboration with EBRD, make available up to $45 million for lending (in the form of credit lines) to selected local banks for onlending to micro and small enterprises (MSEs) in Kazakhstan, The Kyrgyz Republic, Uzbekistan, and Tajikistan.

Eskhata Bank, a Tajik commercial bank with approximately 4% of the banking systems total assets in Tajikistan, has been selected as a partner bank for the Facility.  It was registered as a commercial bank on November 16, 1993 following the issue of a General License for banking operations by the National Bank of Tajikistan.  Eskhata Bank has obtained licenses for conducting all types of banking operations, including foreign currency dealings.  The main objective for the establishment of the Bank was to provide private companies and individuals (mostly in the cotton and agribusiness sectors) with access to credit and with a range of diversified banking services.

The objective of this project is to expand the frontier of finance by extending downward the range of market segments served by Eskhata Bank. Thus, the IFC credit line will increase the availability of sustained credit to creditworthy MSEs, while at the same time building up the lending capacity and skill base of Eskhata Bank.</narrative>

      <narrative> The project consists of an equity investment of up to $500,000 in Tajik Sodirotbank, which will represent up to 20% of the share capital.   The proceeds of the IFC investment would be used by TSB to:     - strengthen its capital base, and    - increase available funding to support the anticipated growth in private sector and SME lending.     The IFC investment would be part of a larger recapitalization program that will increase the Bank''s capital from $1.14 million to $3 million equivalent.  Other prospective investors include the European Bank for Reconstruction and Development (EBRD) for 15% to 20% of capital and the Agha Khan Fund for Economic Development (AKFED), which has expressed interest to subscribe for 25% to 30% of capital.  There will also be a capacity building technical assistance program that will strengthen the bank''s operations and bring them in line with sound banking principles.     IFC''s key role in the financial sector has three objectives.  First, IFC seeks to encourage and support institution-building by focusing on the following  priority areas:    - help develop new and efficient private sector companies;    - establish commercially viable intermediaries capable of mobilizing and allocating domestic savings for use by these private companies; and    - assist in employment generation.      Furthermore, the project will set standards of corporate governance and business conduct and discourage government interference.  IFC''s involvement, in partnership with EBRD and AKFED, will foster the institution-building role through the Technical Co-operation (TC) program approved by the EBRD and AKFED''s active involvement in the operations of the bank.  Third, IFCs involvement will act as a catalyst for more Foreign Direct Investment (FDI).  Over the years, Tajikistan has attracted very little FDI.  No foreign banking institution has to date invested in the Tajik financial sector and no strategic or financial investor is presently willing to take such initiative on its own.  The success of the project should encourage other investors, who are currently reluctant to do business in the country, to invest in Tajikistan as the perceived risk diminishes. </narrative>

      <narrative> The project is to provide a loan of $3.0 million to the First Micro Finance Bank of Tajikistan (FMFB-T or the Bank), an existing IFC client that has been providing credit and other financial services in rural and urban areas.  The loan is expected to facilitate expansion of FMFB-Ts microfinance activities throughout Tajikistan.   IFC would play an important developmental role by providing FMFB-T with additional longer term resources for on-lending to Micro and Small Enterprises (MSEs), which have difficult access to long term funding.  FMFB-T has been building on the experience of the Microfinance Programmes of Aga Khan Fund for Economic Development in Tajikistan. FMFB-T, headquartered in Dushanbe, was granted a banking license by the National Bank of Tajikistan in September 2003.    The Bank currently has regional branches in four urban centres: Gharm (serving the Rasht Valley), Khorog (serving the Gorno Badakhshan region), Khujand (serving the Sugd region) and Kulyab (serving Khatlon region).   These branches are supported by a far-reaching network of over thirty small district offices in surrounding communities and rural areas.    As of February 28, 2008, FMFBT had a total loan portfolio of $20 million and a client base of over 16,900 people, 31% of whom are female. FMFB-Ts average loan size is about $1,100 with a repayment rate of over 99%. FMFB-T employs a staff of over 270 dedicated professionals.  IFC has a $0.85 million equity investment in FMFB-T, representing 14.6% ownership stake.  Since 2005, FMFB-T has participated in the IFC Central Asia Leasing Advisory Program funded by the Swiss State Secretariat for Economic Affairs. </narrative>

It is the sponsors vision that Tajik Access will become the leading microfinance/SME bank in Tajikistan and will set new standards in the countrys banking sector in terms of professionalism, transparency and efficiency.  The project will initially focus on providing credit to micro and small businesses (on the basis of a cash flow-oriented credit technology), as well as basic savings and payments services.   </narrative>

      <narrative> Development of Financial Sector:    IFC supports the development of a holistic financial sector, with interventions at the macro, meso and micro levels.  IFC''s work in Tajikistan is an example of how the investment and advisory programs work together to build an enabling regulatory environment for microfinance and to create a new, best practice institution with the ability to demonstrate sustainable delivery of financial services to the micro and small segments of the market.  Commercialization of Industry:    IFCs main role lies in facilitating the process of commercialization of the industry.  Commercialization enables MFIs to better leverage their equity, increasing their ability to serve significantly more clients, and offer them a wider range of financial products and services.  The Project will also allow IFC to further develop and nurture a diversified network of investment partnerships and promote commercial microfinance by creating a demonstration and replication effect through the endorsement of microfinance as an attractive and profitable new asset class to commercial individual and institutional investors.  Furthermore, IFCs commitment to AMHs network investments is likely to be a strong catalyst to attracting other international financial institutions as investors. </narrative>

After the opening, the Company estimates that it will employ 135 people, of which, 80% will be local and 20% will be expatriates.  It will also provide additional employment with multiplier effects along the supply chain. EB is an existing IFC client that has been providing credit and other financial services in Tajikistan with focus in the northern part of the country.  

IFC would play an important developmental role by providing EB with additional longer term resources for on-lending to MSMEs, which have difficult access to funding.

Established in 1993, Eskhata Bank is one of the better managed medium banks in Tajikistan with enhanced presence in the northern part of Tajikistan. EB is a transparent financial institution, having demonstrated its full commitment to developing and adhering to best practice corporate governance standards and active development of MSME lending. 

EB is currently the fifth-largest bank in Tajikistan ranked by total assets, with approximately 6.7% market share of total banking system.  Eskhata is headquartered in Khujand city, the Sughd region in the northern part of Tajikistan, and has a network of nine branches located in Khujand, the other major centers of the Sugd Region, and the capital city Dushanbe.

The Bank offers traditional range of banking services with greater focus on development of its lending to MSMEs that play an important role in the economy of Tajikistan. As of December 31, 2008, EB MSME loans represented over 70% out its total loan portfolio.</narrative>

Production is planned to start by the end of December for chocolate products, targeting the middle class consumers, with nationwide distribution.  

Amiri will be the first modern chocolate operation in Tajikistan, competing against imported brands. The project includes investment in: (i) the renovation of existing production premises, formerly used for storage; (ii) equipment for chocolate production; and (iii) working capital. IFC funding will be used to support the purchase of modern chocolate processing equipment.  

The existing distribution company, Tajero, was established in 2002 and has since built strong relations with leading international companies to distribute and market FMCG products in Tajikistan. The new company, Amiri, will take advantage of the Tajero network for brand management, distribution and key shelf space to leverage Tajeros depth of expertise and strong relationships with retail players.  </narrative>

      <narrative>Through this Project, IFC will be investing with a local sponsor that has built a strong distribution business in a challenging environment and now is looking to start its own production in a predominantly import dependent market. With IFC's involvement, Amiri is well positioned to become a model production site through support from IFC on food safety, HACCP and environmental standards, and would be able to disseminate best practices through its distribution network.
The Project's main beneficiaries will be financiers, employees, owners of small stores and consumers.     </narrative>

It is the leading nationwide importer and distributor of food and beverages with exclusive contracts from 16 International Fast Moving Consumer Goods (FMCG) companies.  Tajero distribution currently covers 70% of sales points in Tajikistan.Tajero is exposed to volatility in global prices as a distributor of imported food, which makes up 80% of food in Tajikistan.   Increasing food prices coupled with currency depreciation have limited Tajeros ability to further expand the operation, particularly as access to affordable capital has diminished in Tajikistan. To sustain stable volumes and further grow the business, Tajero seeks more affordable sources of financing and has approached IFC to reduce refinancing risks.   Tajero has approached IFC for a 3-year working capital line to refinance a current loan and reduce financing costs (the Project). This would be IFC's second investment with Tajero.</narrative>
