    <description type="1">
      <narrative>IFC is considering an investment up to US$75 million in Euro equivalent in Victoria Group a.d. (Victoria, or the Group). Victoria is a leading agro industrial group in Serbia with a primary focus on processing of soybean and sunflower oilseeds and grain trading. The Group employs over 1,800 people. IFCs loan proceeds will be used to finance the Groups permanent working capital financing needs and restructure the Groups debt financing towards a longer term, more stable structure that is suitable for the nature of the Groups operations. The long-term facility will be used partially to provide input financing to farmers needed to produce oilseeds for processing on the Groups plants. Thereby, IFCs investment is expected to strengthen the support to farmers and increase the sustainability of the Groups operations.</narrative>
    </description>
    <description type="2">
      <narrative>The development impact of the Project is expected to include: (i) Strengthening of agribusiness linkages and support to farmers: given the strong linkages of Victoria Group with farmers, provision of longer term permanent working capital will help ensure stable access of pre-harvest financing to farmers; (ii) Job preservation: the Group employs about 1,800 people across its operation and collaborates with about 400 partners which in turn supply the Group from over 25,000 farmers; (iii) Increase tax revenues: IFC''s investment will contribute to the growth of government revenues from taxation; and (iv) Addressing food security concerns: IFC''s investment will contribute to food security and in meeting the challenges of increasing demand and food crisis.</narrative>

The Company is a special purpose entity established solely for the development of the Project and is 100% owned by Electrawinds SE (Electrawinds or the Sponsor). With its aspirations to join the EU, Serbia has incorporated renewable energy targets in its energy policy, and will be increasingly bound by these in future. At the same time, the region suffers from increasing energy deficits, which place a premium on domestic energy generation. IFCs involvement in the financing of the Project is expected to provide strong support to the nascent renewable energy sector in Serbia.</narrative>
    </description>
    <description type="2">
      <narrative>IFC''s development impact in this Project includes: (i) Demonstration Effect: Through this Project, which will be one of the first wind farms in Serbia, IFC will be supporting the renewable energy sector in the country and hence will set an example to potential investors and financial institutions; (ii) Increasing Renewable Energy Capacity: The Project envisages adding 42 MW of wind energy capacity in Serbia where the share of coal fired generation constitutes approximately two thirds of total electricity generation; and (iii) Displacement of GHG Emissions: The Project is expected to displace carbon from the country''s thermal generation plants, reduce pollution and contribute to the effort to combat global warming. Once completed the Project is expected to avoid an average annual GHG emission of 48,650 tCO2 (with total GHG avoided estimated at 778,400 tCO2).</narrative>

    <description type="1">
      <narrative> The proposed project includes i) construction and operation of a 340,000 tons p.a.(tpa) Waste-to-Energy (WtE) Facility with connection to electricity and heating distribution systems, ii) closing and remediation of the existing Vinca landfill, iii) building and operation of a new EU compliant sanitary landfill for 170,000 tpa, and iv) building and operation of a 200,000 tpa Construction and Demolition Waste (CDW) Facility by Beo Cista Energija d.o.o (the SPV) in Belgrade, Serbia (together the Project). The Project has been developed and procured through a competitive bidding process by the City of Belgrade, with the support of the IFC PPP Advisory team as the Citys lead advisor, and in September 2017, a 25-year operation PPP contract was awarded to a consortium led by Suez Groupe (France), Itochu Corporation (Japan) and now also, Marguerite Fund II (France). The Project will be delivered under a design-build-finance-operate-transfer scheme by the SPV which was set up by the Sponsors for this Project. The PPP Contract will provide the SPV with the exclusive right to treat the municipal waste generated by 13 municipalities of Belgrade, collected by the City. The electricity will be sold to Serbias power utility EPS, under a Power Purchase Agreement (PPA) with a 12-year term post construction. The heat will be sold to the municipal district heating company, Beogradske Elektrane under a 25-year heat offtake agreement (HOA). </narrative>
    </description>
    <description type="2">
      <narrative>(1) Stakeholder effects: The project is expected to improve the quality of waste management services provided to residential and commercial users in Belgrade. The proposed infrastructure which includes a WtE facility and a new landfill that meets EU standards, contributes to relieving pressure on existing waste management infrastructure in Belgrade, adds renewable to the grid, and provides heat to the local district heating company.

(2) Environmental and social effects: The project will also result in significant environmental benefits resulting from the remediation of the existing landfill and diversion of improperly disposed waste to a new regulated landfill. It also results in significant CO2 emissions savings (about 373,700 tons p.a.) from the use of municipal solid waste as feedstock in electricity and heat generation, as well as displacement of more carbon intensive fuels in electricity and heat production. This project also contributes to meeting the country's sector goals, to modernize waste management (reducing overreliance on landfills, eliminating illegal dumpsites, closing facilities that do not meet EU standards), maximizing waste recovery, and improve environmental sustainability, among others.

(3) Competitiveness: As the first long-term PPP investment of significant size in solid waste management in the Balkans, the project demonstrates a market-based solution for solid waste management in the region. The project benefits from upstream WBG engagement in the power and solid waste sectors in Serbia, that contributed to creating an enabling environment for private sector participation.</narrative>

    <description type="1">
    </description>
    <description type="2">

    <description type="1">
      <narrative>          The proposed IFC investment consists of up to US$75 million to support Actis GP LLPs (Actis) ( https://www.act.is/ ) bid to acquire most of the macro tower sites of Telekom Srbija a.d. Beograd (TS or the Seller), (the Transaction). The Transaction is subject to clearance by all applicable regulatory and competition authorities and, if cleared, will lead to the establishment of the first truly independent telecom tower group headquartered in the Western Balkans.     The Seller is one of the largest telecom operators in the Western Balkans and is 58% owned by the Republic of Serbia. Prior to the sale, TS will carve out into separate tower companies (the TowerCos), its towers and passive infrastructure business, comprising 1,827 sites in total, 995 of which are located in Serbia, 725 are in Bosnia &amp; Herzegovina, and 107 are in Montenegro. IFC and other private and institutional investors will invest equity in an investment vehicle that will be established and managed by Actis. The investment vehicle will own 100% of the TowerCoss shares. TS and its subsidiaries will be the TowerCos' anchor tenants under long-term master service agreements and have also committed to lease additional towers from the TowerCos under a build-to-suit program to be implemented over the next 4 to 6 years depending on the jurisdiction.       Actis participated in a wide auction process launched by the Seller in Q4 2022, and following multiple rounds, was selected as preferred bidder by June 2023, after which Actis entered into an exclusivity agreement and bilateral negotiations with TS.                                                   </narrative>

    <description type="2">
      <narrative>Project Outcomes: Improved access to quality mobile connectivity for individuals and businesses by supporting the development of high-speed mobile network coverage and capacity through the acquisition of MNO-captive mobile towers and the construction of new ones to be shared by mobile network operators in the TowerCoss countries of operation. The gap in quality connectivity and infrastructure is expected to be Low to Medium as mobile download speed is on par with emerging market averages. A preliminary assessment suggests Moderate to Strong project outcomes rating depending on the growth in the tenancy ratio and the geographical distribution of the towers.

Market Creation - Increased competitiveness of the mobile connectivity market via competition and demonstration and replication channels, with the potential to create a competitive tower colocation market segment in the TowerCoss countries of operation. The mobile connectivity sector in these countries is fairly developed with a number of mobile operators, high technological innovation, affordability and an advanced regulatory framework. However, the tower colocation segment is nascent, limiting infrastructure sharing and efficient expansion of new technologies like 5G. By supporting the expansion of the first truly independent tower operator to further the tower colocation business model in the Western Balkans markets, the transaction could demonstrate the viability of this business model, thereby attracting new entrants or inducing other mobile network operators to further divest towers in the region, resulting in the creation of a competitive tower colocation market. Subject to the projected growth of independent towers and 5G coverage in each country beyond the TowerCoss expansion plans, and any supportive regulatory framework, a preliminary assessment suggests Strong to Very Strong market creation rating.

The Project has an Anticipated Impact Measurement and Monitoring (AIMM) rating of Good.</narrative>

      <narrative>The most significant, expected project-level outcome is increased access to MSME and climate finance in Serbia. Beyond the project, IFC anticipates that the investment will promote greater market resilience by creating a strong benchmark for both EBS and other systemic banks to undertake issuances of MREL-eligible instruments and through demonstration effect and replication channel. SMEs dominate the Serbian business economy, accounting for 99% of all enterprises and employing more than 65% of the countrys labour force. Yet, according to the SME Finance Gap Report, the SME financing gap in Serbia is estimated at about 20% of GDP, with about 42% of SMEs being fully or partially credit-constrained. The long maturity SP MREL proceeds will allow the Bank to increase lending to MSMEs and to provide more longer-term investment loans. Also, IFC anticipates that this project will increase access to climate finance with minimum 30% use of proceeds dedicated to this area. Serbia faces a very large climate finance gap to meet its green transformation agenda and the Nationally Determined Contributions. With IFC financing, EBS is planning to increase its climate finance portfolio, which is focused on renewable energy, 3.6x times within 5 years from the current baseline.</narrative>

(the bank ). The equity investment is subject to the approval of NLBs Supervisory board. The purpose of IFC project is to assist the bank in expanding its retail and consumer lending, in addition to enabling it to extend term financing for SMEs and mortgages, particularly within Novi Sad in the Vojvodina region, the second largest economic center in Serbia &amp; Montenegro. The bank is the fifth largest commercial bank in Vojvodina (16th in Serbia, measured by total assets), serving over 150,000 customers, in retail and to corporate customers. The bank has traditionally focused on corporates and industries involved in foreign trade, whilst its new strategy emphasizes retail banking, mainly in the Vojvodina region. The relationship between IFC and the bank started in 2004 when the b ank took over three old IFCs senior loans from 1980s following the debt restructuring of the State of Serbia. After the restructuring of Serbias Paris and London Clubs loans, the State became the majority shareholder of the bank with a 98.5% stake. It was offered for sale in a privatization tender in early 2005, and the purchase was made by Nova Ljubljanska Banka (NLB d.d., Slovenia) in July 2005. </narrative>

      <narrative> As the government pursues its privatization policies in the industrial sector, the number of private sector companies, and SMEs in particular, is expected to grow. The demand for SME finance is expected to be especially high in the Vojvodina region, a strong industrial and agricultural mainstay of Serbia &amp; Montenegro. NLB Continental Banka, a well known financial institution in this region, supported by NLB, a strong parent known in the area, is well poised to expand its retail and SME business, which is reflected in the banks need to obtain term funding. </narrative>

      <narrative>ProCredit Serbia - Energy Efficiency</narrative>
    </title>
    <description type="1">
      <narrative> ProCredit Bank Serbia (the Bank or PCB) was the first foreign bank to enter the Serbian market after the fall of the Milosevic regime. It focuses on lending to micro- and small-enterprises. The project consists of a EUR10 million energy efficiency senior term loan to the Bank. The facility would be dedicated to financing Energy Efficiency (EE) improvements. </narrative>
    </description>
    <description type="2">
      <narrative> The development impact for this project is high. It fosters: - Energy Efficiency Improvement: The project would support the launching of a new Energy Efficiency program with a commercial bank as an intermediary. The EE program would focus on: - EE improvements in MSEs; and - the use of cleaner and renewable sources of energy (such as natural gas, solar energy) by MSEs. - Improved Competitiveness: Due to reduced energy costs as well as quality improvements as a result of technology and process upgrades, the project would contribute to improving the competitiveness of MSEs supported. - MSE Lending: It would provide long term funding to Serbian MSEs that constitute a significant engine of economic growth, while remaining underserved by the financial sector. - Capacity Building: It would strengthen the Banks balance sheet, improve its asset liability management and enable the Bank to expand its financial intermediation capacity. Overall, the IFC/ProCredit EE program would result in conservation of energy and lower CO2 emissions, and have important social and economic implications by lowering monthly energy bills for MSEs. Through the project, IFC would introduce a new highly developmental energy efficiency MSE product to the Serbian market. This would be the first product of this type offered by a bank in Serbia, and it would have strong replication potential. </narrative>

The IFC funds would be used for extending leasing finance to the SME and agriculture sector. The IFC Loan would have a maturity of up to six years with two years grace period and is to be unconditionally and irrevocably guaranteed by PCB. </narrative>

    <description type="2">
      <narrative> The development impact for the project is high. It fosters: - Access to finance for Agriculture: The project will expand access to term finance for farmers. Government support for agri-sector is still minimal with only 10.9% of the agri-budget dedicated to credit lines for agriculture machinery and equipment. This points to the need for the private leasing companies such as ProCredit to meet a significant market gap. - Development of the Leasing Sector: The project will enable the growth of the leasing sector and assist it in playing a greater role in capital formation in the economy. It will also promote the emergence of Procredit Leasing as a credible player in the market and boost competition. Despite the high growth of financial leasing sector since the start of its operations in 2002 financial leasing sector remains underdeveloped. - Term funding for SMEs: The project will make much needed term funding available to Serbian SMEs. SMEs are an underserved segment in Serbia and this project will help SMEs make critical capital investments in order to make their operations more sustainable. </narrative>

The IFC project entails the financing of the landfill operation, PWW Deponija Dva d.o.o. Leskovac (Deponija Leskovac, or the Project). </narrative>

      <narrative> The construction and financing of the subject landfill operation, the following benefits are expected to be realized: Support to public infrastructure: The Project will enhance the private sector participation in public infrastructure development in Serbia under a PPP structure, which still needs to gain further momentum in the transition economies. Improved quality and standards: Given the Sponsors extensive experience in infrastructure construction in Western Europe, the Project is expected to facilitate the transfer of technology, knowledge and know-how, thereby improving the quality and standards of waste management in the target municipalities. Enabling construction of a necessary project: Given that the first phase of the local landfill of the Municipality of Leskovac has approached its capacity, the second phase investment has become a necessity. Such investment would have been extremely challenging for the Municipality of Leskovac to finance through its own resources under the current investment climate. The involvement of PWW as the strategic investor, and IFC as the financier will enable this necessary project to come to fruition. </narrative>

      <narrative> Cacanska Banka ad Cacak (CBC or the Bank) has a long tradition in Western Serbia operating since 1956 as a regional bank, covering mainly Central and Western Serbia through a network of 25 organizational units in 21 towns headquartered in Cacak, an industrial center in Western Serbia. The Bank employs 396 people. It is a universal bank offering a full range of banking services to its retail and corporate/SME clients, with SMEs representing over 80% of the Banks portfolio. Although CBC is a small bank, it holds a leading position in servicing SMEs in Western Serbia. The Project consists of a potential equity investment of up to 20% of CBC and senior loan facility of up to EUR7 million. It is a joint IFI effort aimed at strengthening the Bank''s capital base, and thereby improving its competitive position and enabling it to bear likely stresses on asset quality in view of the financial crisis. It is also expected to facilitate the eventual sale of the Bank to a strategic investor once normalcy returns. IFC will provide five year Senior Loan with a purpose of on lending to small and medium size enterprises, subject to the capital investment. </narrative>
    </description>
    <description type="2">
      <narrative> The Project is expected to have a high development impact. It will: - enable CBC to expand its lending to SMEs in the region that had limited access to finance from the banking sector historically and who will need more support given the effect of global crisis in Serbia. Central and Western Serbia region has a high concentration of SMEs, which play a critical role in the country''s economic growth and employment. - strengthen the capital base and adequacy of the Bank and demonstrate the ability of a Serbian locally-owned bank to attract investments from international institutional investors in difficult financing times and thereby help the Bank to meet difficult asset quality and liquidity challenges going forward. - will enable economic growth and job protection in less developed regions in Serbia. - advance capacity and institution building of the Bank through the IFC''s nominee possible involvement in the Bank''s Board of Directors; and - facilitate the eventual sale of the Bank to a strategic investor. </narrative>

The IFC project entails the financing of the landfill operation, PWW Deponija d.o.o. Jagodina (Deponija Jagodina, or the Project).

Enabling construction of a necessary project: Given that the first phase of the local landfill of the Municipality of Jagodina has approached its capacity, the second phase investment has become a necessity. Such investment would have been extremely challenging for the Municipality of Jagodina to finance through its own resources under the current investment climate. The involvement of PWW as the strategic investor, and IFC as the financier will enable this necessary project to come to fruition. </narrative>

      <narrative> Kronospan Serbia has finished construction of a particleboard plant in Lapovo to better serve the markets of Serbia and the Balkan countries. Planned plant capacity is 380,000 m3 of particleboard and 11 million m2 of melamine facing per annum. The project was financed by Kronospan and HVB, Germany. Production was to commence in Spring 2009, but the project was delayed due to difficulties with land acquisition, regulatory permissions and a decision to increase capacity to better realize economies of scale. It is expected that the full scale production will start in 2010. </narrative>
    </description>
    <description type="2">
      <narrative> Climate Change Mitigation: Climate change benefits include a corporate commitment by Kronospan to produce panel products from waste-wood chips, forest residues and pulpwood, and to stimulate growth of forests through sustainable forest management practices. Kronospan Serbia aims to source 50% of raw material inputs from wood chips and saw dust. Employment: The Project will generate approximately 200 additional jobs in the relatively undeveloped rural area. Benefits to Local SMEs: High volume production of value added products will benefit the local furniture manufacturers and construction industry through lower prices and higher product quality. Increased Linkages: The Project is expected to increase the sourcing of raw materials and wood from local suppliers, thereby enhancing the income of the people involved in the upstream production as well as the planting and harvesting of forests. Import Substitution: Domestic wood panels manufacturers in Serbia are unable to meet local demand. Increased local supply of particleboard is expected to substitute imports and lower board prices in the country and contribute to the competitiveness of exports and the local downstream construction and furniture industries. Strong Demonstration Effect: The success of the project during the ongoing financial crisis is likely to have demonstration effect for similar investments by other global and regional companies. This is likely to encourage FDI, boosting confidence in the economy and the environment for private sector investment. </narrative>

      <narrative> Komercijalna Banka ad Beograd (KBB or the Bank or the Company) is the largest locally owned bank in the Serbian banking sector, ranking the 2nd by total assets in the country. Operating since 1971, KBB is a universal bank offering a full range of banking services to its more than 750,000 clients in retail, corporate, SME, and municipal sectors. Headquartered in Belgrade, KBB has developed a strong domestic franchise and expanded to Bosnia &amp; Herzegovina and in Montenegro. The Bank currently employs more than 3,000 staff. KBB SubDebt (the Project) supports an existing client of IFC, a systemic bank in the Serbian banking sector, with long-term financing which is currently unavailable in the market. This partnership will further support private sector development and sustainable economic growth as it would enhance the Banks capacity to serve clients. </narrative>
    </description>
    <description type="2">
      <narrative> By providing the Bank with the sub-debt, IFC/AMC will help Komercijalna to strengthen its capital base at a time where Basel II capital requirements are to be adopted in Serbia. This will consequently allow the Bank to further strengthen its position in the market and bolster its financial services and products to Serbian enterprises and individual consumers, supporting economic activity and job protection in the country. </narrative>
