      <narrative>The Project is to construct and operate a new dedicated container terminal (the Terminal) within Puerto Quetzal. The Terminal will operate under a 25-year Contrato de Usufructo Oneroso (Usufruct Agreement) on leased land owned by Empresa Portuaria Quetzal, the state owned company that owns and administers Puerto Quetzal. The proposed financing would help execute Phase 1 investments required under the Usufruct Agreement and help create a container facility with an annual capacity of 340,000 twenty-foot container equivalent units (TEUs).  At full build out, the Terminal will have an annual capacity of 700,000 TEUs and be able to handle post-panamax ships.</narrative>

(BAM or the Bank), the fourth largest commercial bank in Guatemala, consists of a senior financing package of up to US$225 million to support the growth of the Banks small and medium-sized enterprises (SMEs) and housing loan portfolios.  </narrative>

      <narrative>Despite the significant role played by SMEs in the Guatemalan economy, as it produces 40% of GDP, the amount of lending to these companies is constrained. The SME financing gap in Guatemala is estimated at US$15 billion, or 20% of GDP. Furthermore, the estimated unmet housing demand in Guatemala is large at around 1.8 million homes. IFC anticipates that the project will increase access to SME and housing finance and contribute to narrowing the financing gap for these segments in Guatemala.</narrative>

      <narrative>         The proposed project is an up to US$220 million financing package for Banco Industrial S.A. (Banco Industrial or the Bank) in Guatemala, consisting of: (i) an up to US$170 million senior unsecured A loan for IFCs own account (IFC A Loan), part of which benefits from (ii) up to US$75 million unfunded mobilization through the MCCP FIG program, in which IFC will transfer the credit risk to insurance companies, which results in a net IFC own-account exposure of not more than US$95 million, and (iii) a trust loan of up to US$50 million from IFC acting in its capacity as the implementing entity for the Managed Co-Lending Portfolio Program (MCPP).     The loan proceeds will be used to fund the growth of the Banks small and medium enterprise (SME) and  climate-related assets , which is expected to be at least the 40% of the proceeds (the Project). The proposed senior unsecured IFC A Loan will have a maturity of up to 4-years, with a 1-year grace period.                                                       </narrative>

      <narrative>The expected project-level outcomes are: Increased access to finance for SMEs, increased access to green finance. Beyond the project-level outcomes, IFC anticipates that the investment will promote an increase in climate finance available in the Guatemalan financial sector, contributing to improved environmental sustainability.</narrative>

      <narrative>        Financing to Luminova Pharma Company (Luminova or the Company) to support the execution of its strategic plan including: (i) international expansion; and (ii) increased capacity and new products launch (the Project). Luminova is one of the largest pharma companies based in Central America engaged in the development, manufacture, and commercialization of generic pharmaceuticals. With two manufacturing facilities in Guatemala and more than 950 employees, Luminova has capacity for solids, semisolids, liquids, and injectables in the main therapeutical units including acute care (antibiotics, self-care, nutrition, anemia, respiratory self-care), and chronic care (cardio, diabetes, CNS, dyslipidemias, venous system, urology).                                              </narrative>
    </description>
    <description type="2">
      <narrative>The Project responds to the growing need for affordable and high-quality pharmaceuticals in LAC . This region faces substantial challenges affording and accessing the pharmaceuticals, and the needs are particularly acute in IDA countries which are often relatively under-served due to the small market size and regulatory barriers to entry for new generics. The need for an appropriate range of affordable medication will be accentuated as these countries often face substantial increases in non-communicable diseases, the ongoing burden from communicable diseases and the potential for infectious disease outbreaks.

This project responds to this challenge by financing Luminovas strategic plan which includes expansion in a number of markets including in CA, which will be facilitated by the acquisition of a manufacturing facility located in Spain. This will expedite exports to  LAC as it is easier to register products given EMA approval. The Company will implement a technology transfer from Guatemala to the company in Spain, obtain the registries there (EMA), for some of the products use the production facility in Spain to complete the last part of the production process (filling, packaging, etc.) and then export from there to LAC. In this way, the acquisition in Spain will facilitate an increase in production from Guatemala and the entry of the company into new developing markets.

The project will directly benefit patients through the increased production of medicines, and improved variety as new products are introduced to markets. This will strengthen their performance as Luminovas entry can be expected to increase levels of competition which will lead to lower prices and more variety.</narrative>

      <narrative>Stakeholder effects: The Project increases availability of drinking water in the MGC. The Project will support municipal investments by EMPAGUA, including the construction of three greenfield Water Treatment Plants (WTP) and the rehabilitation of the infrastructure network in Guatemala City. These investments will optimize the use of surface water and provide an alternative to alleviate exploited groundwater resources. IFC expects these investments will add 520 l/s of installed capacity to treat drinking water, which will increase by 13 percent the volume of drinking water supplied to GMC (from 126.1 million m3/year to 142.5 mill m3/year by 2027) Hence, benefiting nearly 884,000 users with improved potable water availability (50 l/day) and resilience to climate change vulnerabilities.

Environmental effects: The Project is expected to treat contaminated surface water to address water scarcity and climate change vulnerabilities. In this sense, the Project provides a short-term solution to preserve critical surface water resources under stress and secure a more stable water production that is less sensitive to climate change. The Project supports the construction of three greenfield WTPs, which will add capacity to treat 220 l/s or 6.9 million m3/year of surface contaminated water. This will enable EMPAGUA to treat nearly 13 percent of total contaminated surface water in Guatemala City, which would become available for reuse in a water scarce context. Hence, improving the availability of treated drinking water sources to adapt to the stress of climate-driven drought the short-term, while the municipality develops integral long-term solutions to holistically address water scarcity.</narrative>

The sustainable notes will be collateralized by US-denominated DPRs originated by GTC and will have a tenor of 7 years, with a 2-year grace period. The use of proceeds of the investment is to support GTCs loan portfolio growth in (i) climate-related assets, including green buildings and energy-efficiency sub-projects; (ii) Small and Medium Enterprises (SMEs) in accordance with IFCs definition and applicable local regulation; and (iii) low-income housing, with a specific carve out to support women home ownership.  The aforementioned use of proceeds will comply with applicable Guatemalan Regulations, including E&amp;S requirements.    </narrative>

      <narrative>The most significant, expected Project-level outcome is increased access to sustainable assets, housing loans and SME finance. Environmental Category and Issues    	This is an environmental category B project according to IFC''s environmental review procedure.  The project includes upgrading and expansion of Pantaleon''s and Concepcion''s cane growing and processing facilities including installation of co-generation units at both plants.  The wastewater from the two processing plants are treated and used as irrigation water in the sugar cane plantations.  Solid organic matter from the process is used as fuel in the co-generation units.  As part of the project flue gas treatment systems will be installed to remove particulate from the offgas.  The companies have also agreed during the project implementation to change to a fuel quality that will bring the two plants into full compliance with World Bank guidelines. Key issues relate to land use modifications, air emissions and discharge of liquid effluent.  The Environmental Impact Analysis indicates that the Project will not impact natural habitat.  The Project is a closed circuit with re-injection of geothermal fluids into formation. Therefore no effluents will be discharged.  Facilities will be equipped with hydrogen sulfide detection devices, although initial data on the geothermal fluids indicated a low potential for production of that gas. Project Cost Including Proposed IFC Investment    	The total project cost is estimated at about US$124 million.  IFCs proposed investment is expected to be in the form of up to US$20 million in an A Loan and a Convertible Subordinated C loan of up to US$5 million.    Location of Project and Description of Site    	The project will be located throughout Guatemala and El Salvador, covering the main cities, the interior and the more rural areas of the two countries.    Description of Company and Purpose of Project   (include IFCs Role and Development Impact)    	La Fragua is Guatemalas largest retail supermarket chain, with 49 stores located in Guatemala City, and 19 in the interior of the country. La Fraguas three-year Project will involve the following components: (a)opening about 48 new stores in Guatemala and 32 in El Salvador; (b) modernizing and refurbishing existing facilities and operations; (c) opening a state-of-the-art distribution center; and (d) modernizing and improving information and technology systems.  The Company expects to benefit from higher margins (as a result of lower fixed costs, improved efficiencies and economies of scale), to streamline and run more technologically-efficient operations, and improve its competitive position, while at the same time preempting local and foreign competitors wishing to enter the market.  IFCs financing provides La Fragua with long-term funding which would otherwise be limited and expensive through other sources for companies in Guatemala.  In addition, as La Fraguas first foreign lender, IFC could serve as a catalyst to encourage greater foreign investment in the Company.  IFCs participation would also improve the Companys corporate governance through improved reporting and better management practices, while acting as an agent of change in its expansion plans.  La Fraguas Project is expected to have the following developmental impacts: (i) the Companys expansion plans would assist in distributing to the less able population groups a wider variety of food and other basic necessity items (at lower or competitive prices) under cleaner and more hygienic conditions.  By delivering products in the interior at the same price as in the capital cities, the Project would foster a more competitive environment, while reducing traveling time and distances for the more remote communities. The Project would also improve the distribution of food and non-food items in Guatemala and El Salvador, by introducing best practice and modern retailing methods, and by bringing about technological improvements in logistics and distribution systems; and (ii) the Project will create about 1,800 jobs, primarily for women, contributing to social and economic growth in the more rural areas of the two countries. In addition, the Project would also provide uncommon employee-benefit packages and higher than average compensation rates.  The expansion plans would also foster better academical standards and training, and create career opportunities for the Companys employees and management, thereby improving the standards of living in the region in which it will operate.     Environmental Category and Issues    	This is an environmental review category B project.  Issues include land use and site location, liquid effluents treatment and discharge, solid waste management, use of non-CFC refrigerants, fire protection, safety and emergency response and general worker health and safety.  The sponsor will implement actions to address these issues and demonstrate that the Project will comply with applicable Guatemalan and Salvadorian requirements and World Bank guidelines. Liquid effluents will be treated and properly disposed.  Solid residues will be either recycled or properly disposed according to local regulations.  Non-CFC refrigerants will be used.  The sponsor will audit their current safety and emergency response practices and implement actions satisfactory to IFC. The principal owner of Negocios Agroindustriales S.A. is the Bolaños family. The principal owners of the Arriola Torrebiarte Group are the Arriola and Torrebiarte families. Negocios Agroindustriales is a holding company established in the 60s and dedicated to agroexport crops, with banana production accounting for 81 percent of total sales. It has total turnover of  US$52 million; total assets of US$63 million; and a net worth of US$35 million.     	The Arriola Torrebiarte Group was established in 1940 as a producer and exporter of coffee. The group has since then diversified into other crops (e.g. sugar, banana and rubber), manufacturing activities (shoe production for Central America) and real estate. The group has a total turnover of US$43 million; total assets of US$34 million and a net worth of US$26 million. All financial data relates to year 1998.     Project Cost Including proposed IFC investment    	Total project cost is estimated at US$20 million. IFC has been requested to provide a US$7.0 million senior A loan.    Location of project and Description of site    	The project is located on the Southern Coast of Guatemala in two farms located in Tiquizate and Nueva Concepcion respectively located 191 km and 131 km south from Guatemala City.  Total land covers 1,500 ha.    Description of Company and Purpose of Project    	The project consists of a US$20 million investment to be carried out by Frutera del Pacifico to develop 1,412 hectares of banana on the Southern Coast of Guatemala. The company already has 457 hectares in production, representing an investment so far of US$5.2 million. The proposed project will be completed by 2001 with sales increasing from an expected US$9 million in 1999 to US$28 million in 2001.    	The project is conceived to give the sponsors a hedge from natural disasters through geographical diversification as well as benefit of the better yields of the Pacific coast and availability of land. The existing plantations of the sponsors are located on the Atlantic coast of Guatemala, a zone which was severely affected last year by Hurricane Mitch.     Environmental Category and Issues    	This is a category B project and the following potential environmental, social, health and safety impacts were analyzed: land acquisition and development; agricultural practices; water supply - sustainability and discharge; solid waste and hazardous materials management; environmental management systems, employment and labor commitments and worker health and safety.   	Development of the farms will have no significant effect on natural habitats and has not required economic displacement. A range of agrochemicals will be used on the farms and the sponsor will develop detailed operational procedures governing the management and use of agrochemicals and appropriate training and equipment will be provided to all staff.   Water supply and use for irrigation of the farms is sustainable and solid waste and hazardous materials management conforms with WBG requirements.  The sponsor is developing an Environmental Management System, which will allow both farms to become ISO14000 certified within 2-3 years.    	When fully developed, the farms will employ 1500 workers and will operate in compliance with Guatemalan labor requirements (including minimum age stipulations) and WBG requirements. The $254 million open pit/underground project is estimated to produce about 217,000 oz per annum over 11 years at about $93/oz cash cost (lowest quartile on the cost curve).  Total open pit and underground reserves in the current mine plan are estimated 13.3 million tonnes at 5.4 g/t gold.  In addition, there is significant exploration potential.  The metallurgy appears simple and conducive to a simple treatment circuit with high recoveries.  The project is owned by Montana Exploradora de Guatemala, S.A. (ME), a 100% subsidiary of Glamis Gold Ltd. (Glamis or the sponsor), a mid tier gold producer listed on both the Toronto and New York Stock Exchanges.  ME holds other exploration stage properties in Guatemala in addition to Marlin.   </narrative>

The purpose of the project is to provide part of the funds (and technical assistance) to close the syndicated loan and support the underlying investments.  In the event that there are still funds available after the completion of the first phase of the MTS project, these funds could be used for other infrastructure projects of the Municipality.</narrative>

It supplies raw and refined sugar to the domestic market in Guatemala, raw sugar to the domestic market in Nicaragua, and exports raw and refined sugar to the world market including the U.S.  In addition, Pantaleons co-generation facilities supply electricity for sale to the national power networks in Guatemala and Nicaragua.

The purpose of the investment is to support Pantaleons ongoing investment program which has and will include:  

- expanding the companys sugar production in Nicaragua by 20%;
- expanding and improving the companys plantations in Nicaragua;
- improving the companys agricultural productivity in Guatemala; 
- expanding the companys existing electricity co-generation facilities in Nicaragua;
- construction of a 150,000 liters per day ethanol plant; and
- general capital expenditures.  </narrative>

      <narrative>Banco GyT Project</narrative>

      <narrative>The proposed investment consists of the subscription of Tier I capital in a locally-owned Guatemalan bank through an IFC injection of up to $68 million in preferred shares to be issued by Banco GyT Continental S.A. (Banco GyT or the client).  

Like all other Guatemalan banks, Banco GyT has a portion of subordinated debt, which the client and the regulatory authorities consider as Tier II capital and include it in the calculation of regulatory capital ratios.  However, when rating agencies assess a banks adjusted risk capital, this subordinated debt is currently not being included as Tier I capital, leading to substantial undercapitalized ratios and excessive penalization of the clients credit rating.  Based on preliminary discussions between the client, IFC and the rating agencies, preferred shares can be considered as Tier I capital and, consequently, improve capitalization ratios.  Currently, the clients Tier I/Total Assets ratio, is 6% (as of October 2007). With the proposed investment, Banco GyTs ratio would increase to above 8.35%. 

Given its closed shareholding structure and its centralized decision making, the client does not prefer to open up its common shareholding to external investors at this stage and prefers to materialize this capital injection through preferred shares.  </narrative>
    </description>

      <narrative>The objective of IFCs proposed investment in Banco GyT will address some of the Guatemalan banking sectors deficiencies, thereby creating the following development impacts:

- Recapitalization:  

One of the financial sectors most pressing needs is the infusion of fresh Tier I capital into the system.  The proposed investment will help recapitalize a major player and will go a long way to improve the systems solvency issues.

- Restoring the Banking Sectors Credibility:  

The need for intervention of Bancomer and Bancafé put the regulatory authorities in an awkward position and has partly undermined the sectors credibility, even though the authorities managed to reduce wide spread damage.  The fact that a foreign institution will invest in Tier I capital will enhance Banco GyTs credibility and bolster the sectors overall image.

- Reducing Fragmentation: 

Given its size, Guatemalas banking industry has too many players, and they therefore have not been able to reach the crucial size to achieve efficiency levels common in this sector in other countries.  The investment in a leading players Tier I capital will equip it to grow its balance sheet and have the means to acquire smaller competitors in the domestic market.  Thus, the proposed investment will contribute to further consolidation.

- South-to-South Investments:  

As part of its strategic plan, Banco GyT intends to further expand into neighboring countries through merger and acquisitions.  A stronger capital base will facilitate the implementation of the clients expansion.

- Access to Finance:  

Guatemala is one of the most under-banked markets in Latin America, but banks with economies of scale and higher efficiencies are better prepared to provide access to financial services to underserved regions.  While certain areas of Guatemalas urban centers are well penetrated, large swaths of rural areas are poorly or not at all served.  A strong capital base will provide the means to a player with a strong market presence to reach the unbanked.</narrative>

It supplies raw and refined sugar to the domestic market in Guatemala, raw sugar to the domestic market in Nicaragua, raw sugar in Honduras, and exports raw and refined sugar to the world market including the U.S.  In addition, Pantaleons co-generation facilities supply electricity for sale to the national power networks in Guatemala, Nicaragua and Honduras.  The purpose of the investment is to support Pantaleons ongoing investment program which includes:    - expanding the companys sugar production and electricity co-generation facilities in Guatemala; and - expansion of ethanol production in Guatemala and a new ethanol plant in Nicaragua  </narrative>

      <narrative>Bancassurance has become a strong element in determining competitiveness and success in Guatemalas insurance sector. Seguros G&amp;T S.A. (Seguros) is Guatemalas largest insurance company in both, the property &amp; casualty as well as life insurance segments with a premium split of 65% and 35%, respectively.  

However, unlike its main competitors, its cooperation with Banco G&amp;T Continental (Banco), its half-sister company, the countrys second largest bank, and an IFC client, has been limited to a few areas of cooperation so far.  However, Seguros owners and Bancos owners have realized that a closer cooperation between both entities in distributing insurance products and services through Bancos branch network would offer substantial synergies, higher turnover for both firms and a better penetration of the Guatemalan insurance market.  To assist the parties in unleashing that potential, IFC will invest in Seguros and acquire an equity stake of up to 15%.  </narrative>

      <narrative> In general, the project will contribute towards:     - improving the performance of telecommunications networks (for both voice and data) in congested areas of main cities, and expand coverage in underserved and rural areas, where telecommunications services are scarce; - providing capital investment and improve the telecommunications infrastructure in Guatemala; - supporting the development of low-cost models of extending connectivity to rural areas;  - fostering the development of small medium enterprises (SMEs) and micro-entrepreneurs; and  - enabling other sectors of the economy to become more efficient through the increased use of ICT.  Further to improving coverage, affordability and availability of mobile telephony services, the project will also:    - increase broadband coverage through Comcels its 3G network; - improve service quality; - boost direct and indirect employment; and - further fuel remittances through the purchase of airtime by individuals outside the country. </narrative>

Compared to its competitors America Movil and Telefonica, Comcel has the widest geographical coverage, covering 97% of Guatemalas urban population and 86% of its rural population.  As of 2008, the network was comprised of 1844 base stations (BTS).  3G services are currently being offered in 65 cities.  The network counts with an interurban microwave backbone connecting the main nodes (Guatemala City and three main towns) Comcel has a comprehensive system of backhaul some optical cable components.  The company also has a data center able to store larger volumes of information, which is spread in three locations in Guatemala City. Finally, the Comcel operates its own call center, located in Guatemala City,   The project contemplates 225 new base stations throughout the country, increasing both coverage and capacity.  Furthermore, the project contemplates the building of a fiber optics ring in the north of the country, providing backhaul for sites in this frontier region.   The companys headquarters, together with the central IT facilities, are all located in Guatemala City </narrative>

      <narrative>The proposed transaction would qualify as an investment for the IFC Capitalization Fund (the CapFund) as GyT Continental is one of five systemic banks in Guatemala and has a 20.55% and 19.31% market share in terms of total assets and total deposits, respectively as of July 2010.  This second investment in GyT Continental would consist of (i) common or preferred shares for up to $32.1 million (Tier I capital), and (ii) subordinated debt for up to $42.9 million (Tier II capital) and would be sourced from the CapFund. 

IFC committed its first transaction with GyT Continental in a 9.722% equity stake through a $70 million investment in preferred convertible shares in July 2008, which buttressed GyT Continentals capital at a crucial time and allowed the Bank to weather the economic slowdown in Guatemala.  </narrative>
